1.0 Terms of Service – Axiom Labs Limited

1.1 Definitions
- “Axiom Labs” means Axiom Labs Limited, a private company limited by shares operating as an engineering studio.
- “Client” means any individual or entity engaging Axiom Labs for engineering, advisory, design, or related services.
- “Services” means the consulting, engineering, advisory and related work performed by Axiom Labs under a written proposal, statement of work, or other agreement (an “Engagement”).
1.2 Acceptance of Terms
By signing a proposal or statement of work, clicking to accept, or instructing Axiom Labs to begin work, the Client agrees to be bound by these Terms of Service and any additional terms in the Engagement.
1.3 Scope of Services
Axiom Labs provides software, product engineering, and infrastructure services, including websites, web applications, dashboards, internal tools, business systems, backend architecture, financial tooling, Web3 infrastructure, and related IT services.
Unless explicitly stated in writing, Axiom Labs does not guarantee:
- product–market fit;
- commercial success, marketing performance, or user adoption.
Our mandate is technical correctness, system stability and adherence to security best practices as defined in the Engagement.
1.4 Intellectual Property
- Work Product. Upon full payment of all fees under an Engagement, all custom code, schemas and documentation explicitly created for the Client (“Work Product”) become the Client’s property, unless otherwise agreed in writing.
- Background IP (Axiom Core). Axiom Labs retains all rights to its pre-existing and internal tools, libraries, frameworks, templates, processes, diagrams and know-how (collectively “Axiom Core”), including improvements made during the Engagement. Where Axiom Core is embedded in Work Product, the Client receives a non-exclusive, non-transferable licence to use it only as part of their system.
- Open-Source Software. Any open-source components remain governed by their respective licences.
1.5 Fees and Payment
- Fees, payment terms and invoicing schedules are defined in each Engagement.
- Axiom Labs may pause work, with notice, if invoices remain unpaid after the agreed due date.
- Taxes, bank charges and third-party fees (e.g. gas, cloud, RPC providers) are the Client’s responsibility unless stated otherwise.
1.6 Confidentiality
- Each party agrees to treat the other party’s non-public information as confidential.
- Such information will be used only to perform or receive the Services, unless disclosure is required by law or made with prior written consent.
1.7 Limitation of Liability
To the maximum extent permitted by Nigerian law:
- Axiom Labs is not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or business opportunities.
- For Web3 engagements, Axiom Labs is not liable for losses arising from mismanagement of private keys, seed phrases or access credentials by the Client or users; or exploits, bugs or failures in third-party protocols, chains, wallets, bridges, RPC providers or other infrastructure outside Axiom Labs’ control.
Axiom Labs’ total aggregate liability arising out of or related to an Engagement is capped at the total fees actually paid by the Client to Axiom Labs under that Engagement in the three (3) months immediately preceding the event giving rise to the claim.
1.8 Governing Law and Dispute Resolution
These Terms and any dispute relating to the Services are governed by the laws of the Federal Republic of Nigeria.
The parties agree to venue in Lagos, Nigeria, and will first attempt to resolve disputes in good faith before commencing formal legal action.
1.9 Changes to These Terms
Axiom Labs may update these Terms from time to time. The “Last Updated” date will be revised.
Updates will not retroactively change an already-signed Engagement unless both parties agree in writing.
